Description 

  • Responsible for the provision of legal advisory services, ensuring effective management of all legal and contractual risks and overseeing the work of external counsel and advisors.
  • Provide oversight for the regulatory compliance process by ensuring operations meet all applicable regulations.
  • Responsible for creating effective legal management systems, processes and procedures, setting the department’s objectives and KPIs.
  • Providing regular reports on legal team metrics, progress toward goals, while driving legal technology adoption.
  • Assist with crafting, executing and supporting the corporate vision, strategies and goals.
  • Serve as Corporate Board Secretary.

Main Duties & Responsibilities 

  • Develop and lead the legal department’s strategy and roadmap, aligning it with company strategic objectives and plans.
  • Maintain a deep understanding of the utility industry and provide strategic leadership in decisions making from a legal perspective.
  • Provide expert and strategic legal advice to management on a variety of legal topics, including contracts, regulatory matters, corporate transaction, litigation risks, licensing matters, labour laws, and intellectual property.
  • Liaise with relevant departments to ensure that where legal risks have been identified, appropriate mitigation strategies are implemented.
  • Oversee legal aspects of external information requests, ensuring a timely and comprehensive response while maintaining the confidentiality of sensitive information.
  • Oversee the work of external Counsel; Liaise with the Company’s external counsel on legal matters before the Courts and any other legal matter as directed by the CEO.
  • Prepare and update case files for submission to the Company’s external counsel and the Courts.
  • Lead the development of corporate policies, procedures and programs and ensure that they are in compliance with all statutory or legal requirements.
  • Oversee the execution of contracts across the various divisions and ensure legal and organizational compliance.
  • Draft, review, and negotiate major and critical contracts, vendor contracts, financing agreements, partnership and customer agreements.
  • Review all contracts, agreements and other documents from the company or third parties, assessing the legal implications and reporting the findings to the Executive management’s team.
  • Implement a contract lifecycle management system.
  • Formulate compliance checklists to be used for the purpose of ensuring that all required statutory and contractual requirements are adhered to and where appropriate, conduct training and disseminate appropriate legal requirements to staff.
  • Keeps abreast of legislative and regulatory requirements identifying and documenting the potential impact to the organization and notify Management of the same.
  • Responsible for all corporate compliance matters, including compliance with the Turks & Caicos Islands Ordinances including but not limited to, Companies Ordinance, Electricity Ordinance, Immigration Ordinance and Pelican Energy’s statutory requirements and annual trademark registration renewal.
  • Ensure Company awareness of governance issues and develop and maintain best practices as it relates to key policies.
  • Develop and oversee the budget for the Legal Department.
  • Serve as Corporate Secretary coordinating Board of Directors’ meetings and matters, including Resolutions and Minutes.
  • Ensure good corporate governance by coordinating board meetings, maintaining corporate records, providing governance advice, and acting as a liaison between the board, management, and stakeholders.
  • Maintain a secure and readily accessible filing system to all Company Documents including Company Policies, Agreements, other Legal Documents and the Company Seal.
  • Any other duties that may be assigned by President and CEO from time to time.

Academic/Technical/Management Experience 

  • Master’s Degree in Business Law or related degree.
  • Minimum of 15-20 years’ experience in legal, governance , or compliance administration
  • Chartered Governance Professional designation preferred.
  • Extensive experience with commercial contracts, regulatory and compliance, risk management, employment, intellectual property, and corporate law.
  • Extensive experience working on matters of corporate governance and with a Board of Directors.
  • Ability to identify, analyze and advise on legal issues; produce key legal documents, present clear recommendations and assure legal compliance.
  • Excellent communication and interpersonal skills, with the ability to interface effectively with all levels of the organization and external parties.
  • Proven legal counselling experience in business environment.

  • Excellent judgement, analytical and time management skills.
  • Ability to present comprehensible technical legal advice (both orally and in writing).
  • Excellent relationship management skills.
  • Ability to anticipate legal issues or risks.
  • Proven ability to delicately solve sensitive matters.
